The firm handles the entire process of incorporations for various types of entities, including the most popular: regular profit corporations (entities that end with "Inc.", "Ltd.", "Co.", "Corp."), professional corporations ("P.C."), and limited liability companies ("LLC").  Services provide include name reservation, incorporation, organization and completion of the corporate or company minute book, plus on-going annual or special corporate resolutions.  Since the choice of entity is dependent upon several factors, we work closely with clients and other professionals to ensure that the type of entity is the most appropriate.  A simple questionnaire for a corporation or LLC can be completed and sent to us to initiate the process.   Please feel free to

If there is more than one owner, the firm can assist in the preparation of an agreement among the owners (such as a shareholders agreement for a corporation, an operating agreement for an LLC, or a partnership agreement for an unincorporated partnership). These agreements can include such things as division of management duties, manner of voting ownership interests, admission and removal of owners, sharing of profits and losses, and restrictions on transfers of ownership.

 Business Acquisitions

The firm represents both sellers and purchasers in the transfer of ownership of businesses, including both asset purchase and stock purchase transactions.  The firm can assist either side in the entire process, from negotiation of a purchase and sale, to preparation of a letter of intent, through preparation of the purchase agreement and related closing documents, including transactions in which all or a portion of the acquisition is seller-financed.  In addition, the firm will act as closing attorneys or escrow agents in the transfer of ownership of businesses.  Each transaction is unique, so please feel free to
